Introduction
Welcome to Traction Print. These Terms and Conditions ("Terms") govern your use of the website at tractionprint.com.au (the "Website") and the engagement of any consulting, system administration, or professional services from Traction Print Pty Ltd (ACN: 675 239 719) ("Traction Print", "we", "us", or "the Contractor").
Unless otherwise agreed in writing, by accessing our Website, requesting a quote, paying an invoice, or engaging our services, you (the "Client") agree to be bound by these Terms. Please read them carefully.
1. Definitions
Client: Means any person or organisation that engages with Traction Print to purchase consulting services.
Services: Means any technical consulting, system administration, software customisation, workflow automation, or professional advisory services provided by Traction Print.
Quote / Proposal: Means any written estimate or correspondence (including email) outlining the scope and pricing for a specific task or project.
Statement of Work (SOW): Means a formal, written document drafted specifically for large-scale, complex projects.
2. Provision of Services
Traction Print provides technical consulting and administration services for print software platforms and cloud infrastructure. The specific scope of work for an engagement will be outlined in a Quote, written correspondence, or, for larger projects, a formal Statement of Work (SOW).
For ongoing support, troubleshooting, or ad-hoc tasks requested via email or meetings, the Client authorises Traction Print to execute the work on a Time & Materials basis at our standard consulting rates, unless a separate arrangement is in place.
3. Fees and Payments
Fees for our Services, including hourly rates or fixed project costs, will be clearly outlined in your specific Quote, Proposal, or written correspondence. By accepting a Quote or engaging our Services, you agree to the pricing structure provided.
Invoicing: Invoices will be issued according to the schedule agreed upon in writing or, for ongoing support and ad-hoc tasks, at the end of each calendar month.
Payment Terms: Unless otherwise agreed in writing, all invoices are issued in Australian Dollars (AUD) and are strictly payable within 14 days of the invoice date.
Payment Method: Bank transfer (wire transfer) is our preferred method of payment. Account details and instructions will be provided on each invoice.
4. Intellectual Property & Work Product Ownership
Upon full payment of the associated invoices, Traction Print assigns to the Client all intellectual property rights in the customisations, scripts, reports, and other specific deliverables (the "Work Product") created exclusively for the Client under the engagement.
Traction Print retains all ownership rights to any pre-existing code, frameworks, or general consulting methodologies used during the provision of the Services.
5. Mutual Confidentiality (Non-Disclosure)
To facilitate our consulting Services, both parties may share highly sensitive proprietary information. These Terms serve as a binding, mutual Non-Disclosure Agreement (NDA).
Confidential Information: Includes system architecture, database configurations, product plans, client data, technical procedures, pricing margins, and other business information relating to either Party's operations.
Obligations: Both Parties shall hold the Confidential Information in the strictest confidence, limiting disclosure strictly to employees or agents on a "need to know" basis. Neither Party shall publish or use the Confidential Information for their sole benefit without written approval.
6. Relationship of Parties
Traction Print operates as an independent contractor and not as an employee of the Client. We retain the right to provide services to other clients simultaneously. The Client is not liable for providing any employment benefits, such as leave or retirement contributions.
7. Client Responsibilities & Limitation of Liability
We strive to provide highly accurate, error-free work; however, final testing and approval of any software customisations or database changes in a staging or production environment remain the sole responsibility of the Client.
The Client agrees to provide timely access to necessary systems, environments, and information required for us to perform the Services. To the maximum extent permitted by law, Traction Print is not liable for any indirect, consequential, or economic losses arising from system downtime, misconfigurations, or errors that the Client has approved or overlooked.
8. Term and Termination
Either party may terminate an ongoing consulting engagement by giving not less than seven (7) days written notice. Upon termination, the Client agrees to pay Traction Print for all services accrued and time spent up to the effective date of termination.
9. Website Use
You agree to use the Website for lawful purposes only. All content on the Website, including text, graphics, logos, and code, is the property of Traction Print and is protected by copyright law. We reserve the right to modify or suspend access to the Website at our discretion.
10. General Provisions
Entire Agreement: These Terms, alongside your specific Quote, written correspondence, or SOW, constitute the entire agreement regarding the provision of our Services.
Force Majeure: Traction Print will not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including internet outages or third-party software vendor failures.
Governing Law: These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
